Speaker Agreement and Authorization
Speaker grants to TNC New Media, Inc., its subsidiaries, affiliates, agents, successors, and assigns (together referred to as "TNC") the right and permission to record, use, publish, stream live, stream on-demand, offer for download, offer for sale, or otherwise distribute any recordings of any session speaker conducts or participates in at TNC owned or managed events. Such right and permission includes, but is not limited to, speaker's name, recorded audio or video, photograph or likeness, biographical information, handouts, electronic slides or any material based upon or derived from the session.
Any materials created for the purpose of conducting the session shall continue to be owned by the speaker or speaker's employer and they or their employer will continue to be the copyright holder for said material. Speaker does, however, grant a non-exclusive, unrestricted, worldwide perpetual license to TNC to utilize, as described above, the specific recorded audio or video production and handout or slide materials from the session(s) the speaker conducts or participates in at TNC New Media owned or managed events. Speaker understands that they will be compensated monetarily for this license on a one-time basis from the pool profits as described on the Speaker Proposal Submission page. 20% (twenty percent) of the net profits from the conference registrations will be divided equally among all workshops. Another pool of 5% (five percent) of net profits will be distributed based on how many attendees the speaker brings to the event from their own marketing efforts. Payments are made on a per-workshop basis - workshops where speakers team-teach the session will be treated as a single speaker and can split their payment as they wish.
Speaker understands that TNC New Media may, at its sole discretion, produce presentations or publications based in whole or in part upon the seminar (or any portions thereof) and/or video or audio recordings or photographs of that seminar, and that such presentations or publications may appear in print, online, or in any manner or media, including but not limited to promotional or marketing materials for future TNC New Media owned or managed events.
Speaker hereby warrants and represents that they have the right to enter into this agreement and to grant the rights granted to TNC herein. Speaker understands that they must own all the rights to or have documented permission to use any text, images, audio, video or other multimedia presented in their session. Speaker agrees that during the course of the seminar they will not violate the rights of any third party, including but not limited to copyrights, rights of privacy, trade secrets, and non-disclosure agreements, and that in the event of any breach of any of these warranties, that speaker will defend and hold TNC New Media, Inc. harmless against any such claims.
This release shall be binding upon the speaker and their heirs, legal representatives, and assigns.
TNC New Media, Inc. agrees to:
Promote the speaker's session via direct mail, online, in email newsletters and in all ways deemed appropriate by Expo management
Pay the speaker based on the percentage of net profits as outlined on the Speaker Proposal Submission page
Provide speaker with an all-access, full-conference ticket at no charge
Provide access to a Speaker Ready Room with continental breakfast, lunch and refreshments during all conference days
Provide all audio-visual equipment for the session including:
- LCD projector (speaker must provide their own laptop computer if needed)
- large screen
- wireless ear boom microphone
- podium
- high-speed Internet access
Speaker agrees to:
Respond in a timely manner via email or telephone to all requests by conference management
Prepare a 100% educational, (0% sales pitch) presentation to fill an entire one-hour of session time (including an optional audience question and answer period of 10 minutes).
Deliver a presentation that has not been delivered at a conference previously. (Minimal overlap is acceptable, but our intent is to have sessions that have not been presented at any event previously.)
Arrive at the designated meeting room for the session at least 15 minutes prior to the designated start time
Start the presentation on time and end on time
Provide own laptop (if needed)
Promote their session online, via email, etc
Cover own travel and hotel expenses associated with speaking at the Expo
Cooperate with audio visual technicians to record their entire sesssion
Deliver, by email, any PowerPoint or other audio-visual aids 21 days prior to the first day of the Expo
Conduct themselves professionally at all times while attending the Expo
Cancel only in the event of an emergency
Failure to comply with any of the above agreements will result in forfeiture of all profit payments.
Cancellation Policy
Speaker understands that TNC New Media will be spending a significant amount of money to promote the speaker and their session. If the speaker cancels due to an emergency, TNC New Media will provide a backup speaker for the session. The speaker will not be permitted to provide a substitute for the session. Speaker further agrees that cancelling their presentation at any time, not delivering a full one-hour presentation, or refusing to have the session recorded in its entirety will result in the forfeiture of all profit payments.
